TALENT WORK MADE FOR HIRE STANDARD AGREEMENT (NON-LOANOUT)

1. What is it?

A Film Talent Agreement (Non–Loan-Out Company) is a legal contract between a production company and an individual actor, performer, or on-camera talent hired to appear in a film or television project, where the individual is contracting directly—not through a separate business entity (i.e., not via a loan-out company). This agreement formalizes the terms of engagement including the talent’s compensation, services, schedule, rights granted, credit, and legal responsibilities. It also ensures the production owns the results of the performance and is protected against potential legal or contractual conflicts.

 

Work-made-for-hire means the hiring party owns everything the artist does on the production.

 

Non-loanout means that the artist is directly a party to the contract and doesn’t have a separate company that they contract through to conduct their business i.e. Tom Cruz might have Tom Cruz LLC.

 

2. Who is it for?

This agreement should be used when hiring any on-screen talent as an individual, especially in non-union or independent film settings.

 

Relevant parties include:

·       Independent film producers hiring cast

·       Directors casting actors directly

·       Production companies contracting individual performers

·       Casting directors issuing offers on behalf of the production

·       Talent agents or managers reviewing contracts for their clients

3. What does it include?

The agreement outlines the talent’s role, required services (rehearsals, promotion, ADR), payment terms, use of likeness, scheduling, rights granted to the producer, and any restrictions on the actor (e.g., exclusivity, moral clauses). Because the individual is not contracting via a loan-out, additional employment law considerations and potential tax implications may also apply.
