1. What Is It?

A Clip Use Agreement is a licensing contract that allows a filmmaker, producer, or media company (the licensee) to use a specific video clip owned by another party (the licensor) in their project. This form is for when a party confirms it has control over the asset being licensed.

This agreement grants limited, non-exclusive rights to use the clip in a specified program and media, often for a defined period of time and geographic scope. The agreement sets clear boundaries on how the clip may be used, restricts unauthorized alterations, and typically includes credit, payment, and indemnification provisions. It ensures that both parties understand the scope of usage and their responsibilities, minimizing future legal disputes.

3. What Does It Include?

Often, a short exhibit or appendix is used to describe the clip itself (title, description, source).

·       Warranties and Quitclaim: The licensor provides the footage “as-is” and grants the rights on a quitclaim basis, meaning they don’t guarantee absolute ownership but assert they have authority to grant usage.

·       Equitable Relief: Licensor has the right to seek injunctions if the agreement is breached.

·       Indemnity Clause: The licensee agrees to cover legal claims or costs arising from improper use or breach of the agreement.

·       Attorneys’ Fees Provision: If the licensor prevails in a dispute, they’re entitled to recover attorney fees from the licensee.

·       Governing Law and Venue: Typically governed by California law, with jurisdiction in Los Angeles courts.

·       Execution and Entire Agreement: Can be executed by email/fax and represents the full agreement unless modified in writing.
