1. What is it?

A Product Placement License is a legal agreement that allows a production company to feature a brand's product—along with any logos, trademarks, or packaging—in a film, TV show, or other audiovisual work. In return, the product owner gives permission for the production company to use the product in the content and related marketing, without seeking future approval or compensation. This agreement ensures that the production company has all necessary rights and won’t face future claims about the use of the product.

2. Who is it for?

This agreement is for production companies that want to include branded products in their work, and for brands or product owners who want their products featured. This includes:

  • Independent filmmakers

  • Studios and production companies

  • Brand managers

  • Product manufacturers

  • Entertainment lawyers

  • Sales agents and distributors (as part of legal delivery review)

3. What does it include?

The agreement contains the legal terms that give the production company full permission to use the product and confirms the product owner has the right to grant those permissions. It protects the production company from future interference and limits the product owner's legal remedies.

  • Grant of Rights: Irrevocable license to use the product, including in advertising and marketing, worldwide and in perpetuity.

  • Ownership Representation: The owner confirms they have full rights to the product and can enter into this agreement.

  • Limitation of Remedies: Owner agrees they cannot block or interfere with the film's release and may only seek monetary damages in the event of a breach.

  • Assignment Clause: The production company can assign its rights to a third party.

  • Jurisdiction and Governing Law: The state law that governs the agreement and where disputes must be resolved.

  • Entire Agreement: A clause stating this is the full agreement and supersedes any prior conversations.

  • Execution in Counterparts: Allows digital signing and split signature pages to form one valid contract.

  • Cumulative Remedies: All rights in the agreement are additive and don’t cancel out other rights or remedies.
