A Film Director Agreement (No Loan-Out) is a legal contract between a production company and an individual director, outlining the terms of the director’s engagement on a film, series, or similar audiovisual project. It establishes the director’s creative authority, services, compensation, credit, delivery expectations, and legal responsibilities. This agreement is critical in confirming ownership of the director’s work product, securing the right to use their name and likeness in marketing, and avoiding disputes over authorship, control, or credit. When no loan-out company is involved, the director is contracting in their personal capacity, which may have liability and tax implications.
A deal memo is a short version of the long form agreement. This is usually executed early to establish basic terms and the more detailed long form follows after.
Non-loanout means the director is contracting themselves as an individual and not through their "loanout" company.
This agreement is for use when hiring a director as an individual, rather than via their corporation or loan-out.
